NIDO Press Announcement:
In response to the communication (of July 16, 2007) circulated and signed by Dr Ola Kassim, parading himself as the “Chairman and CEO” of the board of NIDO Americas Inc.; the board of NIDO Americas Inc. hereby issues these statements:
1. The current Chairman of NIDO Americas, Inc. is Mr. Robert Ngwu, as elected and ratified by the NIDO Board on June 26, 2007; not Dr. Ola Kassim as the said communication erroneously portrayed. (The minutes of NIDO board meeting of June 20, 2007 and June 26, 2007 refers).
2. Based on the specification of NIDO byelaw, Dr. Ola Kassim, is now ex-officio member of the Board. Dr. Kassim, is NOT the Chairman, as the said communication erroneously proclaimed.
3. Given the position in #1 & #2, the Board hereby advises Dr. Ola Kassim to CEASE and DESIST from parading himself as the Chairman and CEO of Board of Directors of NIDO Americas, Inc. forthwith.
4. Dr. Ola Kassim still remains a very valuable member of the board and would no doubt continue to contribute his experience, passion and flair to the noble affairs of NIDO Americas Inc. albeit, in his capacity as ex-Officio member. HOWEVER, Dr. Kassim does not have the tacit support of NIDO Americas Board which he claims to lead, as indicated by the NINE (9) members, which constitute the majority of the 15-member board that are signatory to this announcement. (A full compliment of twenty (20) directors is the current composition of the NIDO Americas board)
5. Dr. Ola Kassim’s failure to adhere to this advice can be deemed misrepresentation and impersonation, which may be considered a criminal act within the laws of the District of Columbia, in which NIDO Americas is incorporated.
6. This board will continue to attend to its business of delivering outstanding service to the Diaspora community in the Americas, conducting its activities in a professional and civil manner, in accordance, with the mandate given to it by the various constituencies it represents. It will do this, closely guided in its operations by the byelaws of NIDO Americas Inc. and the laws of District of Columbia where it is incorporated.
Finally, efforts by well-meaning members, and well-wishers of NIDO, to address the divergence of opinions and positions, in order to explore lasting solutions to challenges facing the current board, are ongoing; and the board will not relent in these efforts.
